RESOLUTION TO CREATE THE CITY
OF FAIRFAX PARKING AUTHORITY
WHEREAS, by Chapter 21 of the Acts of Assembly of 1991
(the "Act"), the 1991 Session of the General Assembly of
Virginia, amended and reenacted Chapter 536 of the Acts of
Assembly of 1958 to authorize the City of Fairfax to create
a parking authority; and
WHEREAS, the Act recognizes the need for a parking
authority for the City of Fairfax; and
WHEREAS, by this Resolution, the City Council of the
City of Fairfax, Virginia desires to create a parking
authority under the provisions of the Act.
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Fairfax, that there is hereby created, pursuant
to Chapter 21 of the Acts of Assembly of 1991 amending and
reenacting Chapter 536 of the Acts of Assembly of 1958, the
City of Fairfax Parking Authority (the "Authority"), which
shall be a public body, a body politic and corporate of the
Commonwealth of Virginia. The Articles of Incorporation of
the Authority shall, subject to any revisions required by
the State Corporation Commission, be as follows:
ARTICLES OF INCORPORATION
OF THE
CITY OF FAIRFAX PARKING AUTHORITY
1. The name of the authority is the City of Fairfax
Parking Authority (the "Authority").
2. The City of Fairfax Parking Authority is organized
pursuant to, and shall operate in accordance with, Chapter
21 of the Acts of the Virginia General Assembly of 1991,
known as the city of Fairfax Parking Authority Act.
3. The name of the organizing municipality is the
city of Fairfax, Virginia (the "City").

4. The names, addresses and terms of the five (5)
initial voting members of the Authority appointed by the
City Council of the City of Fairfax, Virginia are as
follows:

At the expiration of the terms of the initial members
of the Authority, all subsequent members shall thereafter be
appointed for five year terms.
In addition to the five voting members, the City
Manager of the City or his designee shall serve as an ex-
officio, non-voting member of the Authority.
5. The powers and provisions for the regulation of
the internal affairs of the Authority, except as provided
for in these Articles of Incorporation, shall be determined
and fixed by the City of Fairfax Parking Authority Act and
the Bylaws of the Authority.
6. The name and address of the registered agent of
