A RESOLUTION RELATING TO THE LEASE/PURCHASE AGREEMENT; GIVING APPROVAL THEREOF
AND AUTHORIZING THE EXECUTION OF DOCUMENTS RELATING THERETO
BE IT RESOLVED by the City Council of the City of Fairfax (the Issuer), as
follows:
Section 1. Recitals. This Governing Body has determined that on the basis
of information given to the Issuer, it appears necessary and desirable for the
Issuer to proceed with the lease and purchase of One (1) Unisys A-4 Computer
System (the Property), such financing to be accomplished by the leasing of the
Property from Dougherty Dawkins Lease Groups, Inc., of Minneapolis, Minnesota
under a lease/purchase agreement.
Section 2. Approval of Documents. Pursuant to the foregoing, there has
been prepared and presented to this Governing Body copies of the Lease/
Purchase Agreement dated as of October 2, 1987, between Dougherty Dawkins
Lease Group, Inc. and the Issuer (the Lease), which is now, or shall be,
placed on file in the offices of the Issuer. The form of the Lease is approved,
with such variations, insertions and additions as are deemed appropriate by
the parties and the Issuer's attorney.
Section 3. Approval and Authorization of Financing. It is hereby found,
determined and declared that it is necessary anddesirable for the Issuer to
lease and purchase the property pursuant to the Lease. Approval for such
lease and purchase is hereby granted, and the appropriate officers of the
Issuer are hereby authorized to execute the Lease on behalf of the Issuer
and to execute such other documents, instruments and certificates relating
thereto as shall be required by the parties thereto and as are approved by
the Issuer's attorney, and all certifications, recitals and representations
therein shall constitute the certifications, recitals and representations
of the Issuer. Execution of any instrument or documents by one or more appro-
priate officers of the Issuer shall constitute, an~ shall be deemed the con-
clusive evidence of, the approval and authorization by the Issuer and this
Governing Body of the instrument or document so executed.
