A RESOLUTION APPROVING AN AGREEMENT OF PURCHASE AND SALE
BETWEEN THE CITY OF FAIRFAX PROPERTY L;OCATED IN THE CITY OF
INC. AS SELLER,FOR CERTAIN RE AL P
FAIRFAX AND IDENTIFIED AS A PORTION OF TAX MAP NO. 58-3-02-026
WHEREAS, the City of Fairfax, Virginia (the "City") has determined that a public need
exists to create a school bus parking lot in order to relocate certain school buses from interim
parking elsewhere within the City(the"Project"); and
WHEREAS,in connection with the Project,the City Council has made the determination that
it is in the best interest of the City to acquire an approximately 2.3 Teacree portion f certain in
real property owned by TRMI Holdings Inc. (the "Owner"), and more particularly
as a portion of Tax Map No. 58-3-02-026 (the"Property"); and
WHEREAS, the City Council at its regular meeting on June 12,
2012, authorized the
acquisition of the Property, including by condemnation, if necessary, and s a he City
proposal for
have reached agreement on valuation for the Property, as well P P
coordination of construction and related issues associated with the Project.

NOW, THEREFORE, BE IT RESOLVED by the City Council of the t Bement of
Virginia, that the City Manager is authorized to negotiate and execute an g
Purchase and Sale, substantially of the form attached to this resolution as Exhibit"A", subject
to the concurrence of the City Attorney; and
BE IT FURTHER RESOLVED by the City Council of the City of Fairfax,
Virginia,that the
City Manager and the City Attorney are hereby authorized to execute and deliver any
documentation required in connection with the Agreement of Purchase and Sale in order to
consummate the transactions contemplated thereby and by this resolution, including but not
limited to any closing documentation and certifications.
