A RESOLUTION AUTHORIZING THE CITY MANAGER TO
ENTER INTO A PURCHASE AGREEMENT AND TO EXECUTE
NECESSARY CLOSING DOCUMENTS FOR THE PURCHASE
OF CERTAIN REAL PROPERTY LOCATED WITHIN THE
CITY OF FAIRFAX, AND MORE PARTICULARLY DESCRIBED
AS THE "BLENHEIM PROPERTY," 3610 OLD LEE HIGHWAY,
TAX MAP PARCEL 57-1-((2))-190.
WHEREAS, the Blenheim property located at 3610 Old Lee Highway, and more
particularly described as tax map parcel 57-2-((2))-190, and consisting of approximately twelve
(12) acres of land and improvements thereon (the "Property"), is a significant historical
resource; and
WHEREAS, the City seeks to promote the general welfare, education and recreational
pleasure of the inhabitants of the City of Fairfax and to protect against destruction of or
encroachment upon historic areas; and
WHEREAS, the City and the executors of the William Roberts Scott estate, owners of
the Property (the "Sellers"), have engaged in negotiations for the City to purchase the Property,
and have agreed upon a purchase price of Two Million Two Hundred Seventy-Five Thousand
and no/100 Dollars ($2,275,000.00); and
WHEREAS, the City and the Sellers have generally agreed to the terms of a Purchase
Agreement, setting forth certain terms and conditions that are to be satisfied by both parties
prior to the closing of this transaction; and
WHEREAS, by separate resolution and following a public hearing, the City Council has
appropriated the funds necessary for the City to purchase the Property for the agreed upon
purchase price.
NOW, THEREFORE, BE IT RESOLVED that the City Manager is hereby authorized
to execute, on behalf of the City, a Purchase Agreement for the purchase of the Property, of the
form attached hereto as Attachment A, and to execute any required Closing Documents on
behalf of the City, with the City Attorney being authorized to make any legal and non-
substantive changes to the Purchase Agreement.
This resolution shall become effective as provided by law.
